Gstarsoft Software License Agreement

Gstarsoft Co., Ltd. (“Gstarsoft”) licenses the software to you only upon the condition that you accept all of the terms in this SOFTWARE LICENSE AGREEMENT.

ATTENTION:
Read the terms and conditions of this license agreement carefully. Use of the software is subject to the Gstarsoft’s terms set forth below. Use of the software also indicates your acceptance of the license terms. If you do not accept the license terms, you should select “Cancel” to quit the install. Within 30 days of trial using or before the license code is provided from your purchase, return the software, the software package and all other items in the package to the location where you acquired it for a full refund. If the software is bundled with another product, you may return the entire unused product for a full refund.

COPYRIGHTS AND TRADEMARKS:
GstarCAD is developed by Gstarsoft Co., Ltd., protected by the copyright law and international treaties as described in the license agreement. The source code of the GstarCAD program is copyrighted by Gstarsoft Co., Ltd..

1. GRANT OF LICENSE
1.1 License Grant
Gstarsoft grants you the non-exclusive, non-sub licensable, limited license to use one license of the software product on a single computer, subject to the terms and conditions of this license agreement. The “Use” means installing, loading, running or displaying the software. You are unable to modify the software or disable any licensing or the control features.
1.2 Stand-alone Version
You may install and access a copy of the software on an individual computer, which may not be connected to a network in a manner that allows more than one user to access, upload, operate, view or otherwise create or use a copy of the software. You may not install or access the software on another computer at a time.
1.3 Network Version
You may install, access and use a copy of the software on a storage device, such as a network server, for using the software product on your computers only over an internal network. The software may be installed on or accessed by other computers, or on an individual computer, as a multiple-user installation, so long as the maximum number of concurrent users does not to exceed the permitted number. You shall inform all users of the software product of the terms and conditions of this license agreement.
1.4 Evaluation Version
If the software is identified as demonstration, evaluation, trial, or not for resale version (“Evaluation Version”), You may not use it for competitive analysis, or commercial, professional, or for-profit purposes. The evaluation version may only be installed for a thirty (30) day evaluation period.
1.5 License Code
If this software requires a license code, you must register your purchase of this software with Gstarsoft before a license code shall be issued to you.
1.6 Copies
You may only make one copy or adaptation of the software for archival purposes. You cannot copy the software onto any bulletin board or similar systems.
1.7 License Fees
The license fees paid by you are paid in consideration of the licenses granted under this license agreement.
Unless specified otherwise, you have paid only for one hard disk drive’s value. If you have purchased it or are using an authorized backup copy, we, as the publisher and the developer, do hereby license you to use this software on one hard disk drive at a time. Unless you have purchased an additional license, you may not install it or any portion of it on a network server’s drive system.
If your hard disk drive is not bootable, you must purchase another software so that you can perform the data recovery of the original hard disk drive.
To avoid from purchasing another software, we strongly recommend you to have another separate hard disk drive ready with windows and GstarCAD installed all the time, so that you can use it as a master drive for recovering data of the original targeted drive. You may not perform the data recovery services for other hard disk drives without the license. Furthermore, you may not perform the commercial data recovery services without paying for its license.

2. SUPPORT SERVICES AND TRANSFER
Gstarsoft may provide you with customer and technical support services related to the software (“Support Services”). The Gstarsoft policies and programs of the support services are described in the user manual, on electronic documentation, and/or in other Gstarsoft-provided materials. Any supplemental software code provided to you as part of the support services shall be considered as part of the software product and subject to the terms of this license agreement. With respect to any technical information you provide to Gstarsoft as part of the support services, Gstarsoft may use such information for its business purposes, including product support and development. You may not distribute, rent, loan, lease, sell, sublicense, or otherwise transfer all or any portion of the software or user documentation, or any rights granted in this agreement, to any other person.

3. UPGRADES
If the software is identified as an “Upgrade”, you should be properly licensed to use a product identified by Gstarsoft as being eligible for the upgrade in order to use the software product. A software product identified as an upgrade replaces or supplements (and may disable) the product that formed the basis for your eligibility for the upgrade. If the software product is an upgrade from a component of a package of software programs which You licensed as a single product, the software product may be used and transferred only as part of that single product package and may not be separated for using on more than one computer.

4. DISASSEMBLY OR DECRYPTION
You may not disassemble, reverse-engineer or decompiled the software. You may not decrypt the Software unless decryption is a necessary part of the operation of the software.

5. LIMITED WARRANTY
Gstarsoft warrants, for your benefit alone, for a period of 60 days from the date of commencement of this license agreement (referred to as the “Warranty Period”) that the program diskettes or CD-ROM in which the software is contained are free from defects in material and workmanship. Gstarsoft further warrants, for your benefit alone, that during the warranty period the program shall operate substantially in accordance with the functional specifications in the user’s manual. If, during the warranty period, a defect in the program appears, you may return the program to the Gstarsoft for replacement. You agree that the foregoing constitutes your sole and exclusive remedy for breach by Gstarsoft of any warranties made under this agreement. Except for the warranties set forth above, the program, and the software contained therein, are licensed “as is.” And Gstarsoft disclaims any and all other warranties, whether express or implied, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose.

6. GOVERNING LAW
This license agreement shall be constructed and governed in accordance with the laws of the People’s Republic of China.

7. COSTS OF LITIGATION
If either party brings action to this license agreement against the other party regarding the subject matter hereof, the prevailing party shall be entitled to recover, in addition to any other relief granted, reasonable attorney fees and expenses of its litigation.

8. VALIDITY
Should any court of competent jurisdiction declare any of the terms of this license agreement void or unenforceable, such declaration shall have no effect on the remaining terms hereof.

9. NO WAIVER
The failure of either party to enforce any rights granted hereunder or to take action against the other party in the event of any breach hereunder shall not be deemed a waiver by that party as to subsequent enforcement of rights or subsequent actions in the event of future breaches.
